Welcome to Embrace Ecommerce. These Terms of Service ("Terms") govern your access to and use of the website located at embraceecommerce.com and any related pages, content, and features (together, the "Site"). The Site is operated by Embrace Ecommerce ("Embrace," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, please do not use the Site.

1. About Embrace Ecommerce and our services

Embrace Ecommerce is an ecommerce and Amazon growth agency. The Site describes our services, shares information about our work, and lets you request a consultation or contact us.

The Site itself is informational. It is not a storefront for purchasing services, and nothing on the Site is an offer that can be accepted simply by using the Site. Our services are provided on a custom, quote-based basis. Any engagement between Embrace and a client is governed by a separate written agreement, proposal, or statement of work signed by both parties (a "Services Agreement"). If there is any conflict between these Terms and a signed Services Agreement, the Services Agreement controls with respect to that engagement.

Requesting a call, submitting the contact form, or receiving a quote does not create a binding agreement to provide or purchase services. A binding relationship is formed only when both parties execute a Services Agreement.

2. Eligibility and authority

By using the Site, you represent that you are at least 18 years old and able to enter into these Terms. If you use the Site on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

3. Acceptable use

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else. You agree not to:

  • Use the Site in any way that violates any applicable law or regulation.
  • Attempt to gain unauthorized access to the Site, its servers, or any connected systems or networks.
  • Introduce viruses, malware, or other harmful code, or otherwise interfere with the proper operation of the Site.
  • Copy, scrape, harvest, or collect data from the Site using automated means without our prior written consent.
  • Use the Site to transmit unsolicited advertising, or to impersonate any person or entity.
  • Reproduce, duplicate, resell, or exploit any portion of the Site for a competing purpose without our express written consent.

We may suspend or restrict access to the Site, in whole or in part, at any time and without notice, if we reasonably believe these Terms have been violated.

4. Intellectual property

The Site and its contents, including text, graphics, logos, images, layout, and design, are owned by or licensed to Embrace Ecommerce and are protected by copyright, trademark, and other intellectual property laws. The Embrace Ecommerce name and logo are trademarks of Embrace Ecommerce and may not be used without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your own informational and business evaluation purposes. No other rights are granted. Any deliverables, strategies, or work product created for a client are addressed in the applicable Services Agreement, not by these Terms.

5. Third-party links and platforms

The Site may contain links to third-party websites, tools, or platforms that we do not own or control, including social media platforms and scheduling tools. We provide these links for convenience only. We are not responsible for the content, policies, or practices of any third party, and a link does not imply our endorsement. Your use of any third-party site or service is governed by that third party's own terms and policies.

6. Communications and consultation requests

When you submit the contact form or request a call, you agree that we may contact you at the email address or phone number you provide in order to respond to your inquiry. Any information you submit is handled in accordance with our Privacy Policy. Please do not submit confidential or sensitive information through the Site's forms.

7. No warranties

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Embrace Ecommerce disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Any results, statistics, case studies, or performance figures shown on the Site are illustrative of past work and are not a promise or guarantee of any particular outcome for you.

8. Limitation of liability

To the fullest extent permitted by applicable law, Embrace Ecommerce and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to your use of the Site will not exceed one hundred U.S. dollars (USD $100). This limitation applies to the Site only. Liability arising under a signed Services Agreement is governed by the terms of that agreement.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Embrace Ecommerce and its officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising out of or related to your misuse of the Site or your violation of these Terms or of any applicable law.

10. Governing law and jurisdiction

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.

11. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Site, our practices, or applicable law. When we do, we will revise the "Last updated" date above and post the current version on this page. Your continued use of the Site after changes are posted means you accept the updated Terms.

12. Severability and entire agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force and effect. These Terms, together with our Privacy Policy, make up the entire agreement between you and Embrace Ecommerce regarding your use of the Site, and supersede any prior understandings on that subject. They do not replace any signed Services Agreement, which governs the specific services provided to a client.
